These terms apply when a business uses Brandwall. Brandwall is provided by Vikba ApS, CVR 40234047, Lemnosvej 28A, 2300 København S, Denmark ("we"). The business that signs up is the "customer". Brandwall is for businesses, not for consumers.
1. Agreement
By creating an account or using Brandwall on behalf of a business, you accept these terms for that business and confirm that you may do so. We ask you to accept them when you create your account. Our privacy policy explains how we handle personal data. When we process personal data for the customer, our data processing agreement also applies.
2. What Brandwall does
Brandwall collects posts about the customer from Instagram, through the Instagram account the customer connects. The customer chooses which posts to show and shows them on its own website with a wall from Brandwall. We may improve and change Brandwall over time. If a change takes away something important the customer pays for, we tell the customer in advance.
3. Accounts
- Keep log-in details safe. The customer is responsible for what happens in its account.
- The customer decides who is on its team and what role each person has.
- Tell us straight away at [email protected] if you think someone has misused an account.
4. The customer's responsibilities
- The content the customer shows. The customer alone decides which posts are shown on its website and walls, and is fully responsible for them. This includes getting and keeping any permission it needs from creators and from people who appear in a post, in the way the customer finds right and the law requires.
- Brandwall's tools are help, not a guarantee. Brandwall can ask creators for permission, record their answers, approve posts automatically following the customer's own settings, and filter posts. We do not check that a permission is valid or enough for the customer's use. When a post is approved in Brandwall, by a person, by the customer's settings or by the customer's AI app, that is the customer's decision.
- Claims about content. If someone makes a claim against us because of content the customer showed, or because of how the customer got permission to show it, the customer covers our reasonable costs and losses from that claim.
- The customer's AI apps. When the customer connects an AI app or assistant to Brandwall, anything it does in Brandwall counts as done by the customer.
- The customer's terms for creators. The customer publishes its own terms for creators and handles requests and complaints about the posts it shows.
- Instagram's rules. The customer follows Instagram's and Meta's terms when it connects its account and uses its content.
- Lawful use. The customer uses Brandwall lawfully, including data protection law, and only for its own brand, or for brands it is allowed to act for.
5. What is not allowed
- Showing content that is illegal, misleading, hateful, or that infringes someone else's rights.
- Trying to get into other customers' data, or to get around Brandwall's limits or security.
- Overloading Brandwall, or scraping it or other services through it.
- Reselling Brandwall without our written agreement.
- Using Brandwall to send spam, or to message creators in bulk without a real interest in their posts.
- Creating accounts automatically, or many Free accounts for the same business.
We may suspend an account that breaks these rules or puts other customers at risk. If possible, we tell the customer first and give it time to fix the problem.
6. Plans and payment
- The Free plan costs nothing. Paid plans and their prices are shown in Brandwall before the customer chooses one.
- We may change what the Free plan includes at any time.
- If a payment fails and is not fixed within 14 days, the account moves to the Free plan until a payment goes through.
- Free accounts. The Free plan comes with no promise that it stays available. We may limit, suspend or delete a Free account at any time and without warning, for example if it uses more resources than we expect for normal use, sends spam, breaks section 5, looks fake or automated, or has not been used for 12 months. When we delete a Free account, its walls stop showing posts and its data is deleted.
- Paid plans are billed in advance, monthly or yearly, and prices are in euros excluding VAT.
- The customer can change or cancel a plan at any time. A cancelled plan runs until the end of the period already paid for. Payments already made are not refunded, except where the law requires it.
- We may change prices. We tell paying customers at least 30 days before a change affects them.
7. Content and ownership
- The customer keeps all rights it has in its content. Creators keep the rights in their posts.
- The customer lets us store, copy, resize and show its content and the posts it chooses, only as needed to provide Brandwall.
- We own Brandwall itself, including its software and design. The customer may use Brandwall while these terms apply.
- If the customer sends us ideas or feedback, we may use them freely.
- On the Free plan, walls show a small "Powered by Brandwall" link.
- We may name the customer, with its name and logo, as a Brandwall customer, for example on our website. The customer can say no at any time by writing to [email protected], and we then stop.
8. Availability
We work to keep Brandwall running and walls online. Walls are built to keep showing their last posts if Instagram or Brandwall has a problem. Brandwall depends on Instagram, and we cannot promise that Instagram will always be available or keep the same rules. If Instagram or Meta changes or ends the access Brandwall uses, we may change or remove the features that depend on it. That is not a breach of these terms, and it gives no right to a refund beyond what section 6 says. The customer can always cancel. We do not guarantee that Brandwall will be free of interruptions or errors.
9. Liability
- We are not liable for indirect losses, such as lost profit, lost revenue, lost data or damage to reputation.
- Our total liability under these terms is limited to the amount the customer paid us in the 12 months before the claim. For customers on the Free plan, it is limited to EUR 100.
- We are not liable for any content shown on the customer's website or walls, or for whether the customer had the permission it needed to show it. We are also not responsible for Instagram's or Meta's services.
- These limits do not apply where the law does not allow them, for example for gross negligence or intent.
10. Ending the agreement
The customer can stop using Brandwall and close its account at any time. We may end the agreement with 30 days' notice, or straight away if the customer seriously breaks these terms. Free accounts can also be ended as described in section 6. When the agreement ends, walls stop showing posts, and we delete the customer's data as described in our privacy policy. The customer can ask us for a copy of its data before then.
11. Changes to these terms
We may update these terms. We update the date at the top, and we tell customers about important changes at least 30 days before they take effect. If the customer does not agree, it can close its account before then.
12. Law and disputes
These terms are governed by Danish law. Disputes go to the courts of Copenhagen, Denmark.
